Terms of service
This English version is provided for convenience. If it differs from the Polish version, the Polish version prevails. Polish law applies.
§1. General provisions
- These terms set out the rules under which Daniel Walusiak, a sole trader in Poland operating under the brand “Cloud Agency” (the “Provider” or “Cloud Agency”), provides services. Contact: [email protected].
- The Client is an individual running a business, a legal entity or an organisational unit that orders a service (the “Client”).
§2. Scope of services
- Cloud Agency designs and builds websites (one-page sites, landing pages, business websites) and — as an additional service — automation (including an instant reply to an enquiry, appointment reminders and Google review requests).
- The detailed scope of each order (number of pages, features, deadlines, fee) is agreed individually by email or in a separate contract.
- Cloud Agency may prepare a short audit of the Client’s existing website free of charge on request. The audit does not oblige the Client to conclude a contract.
§3. How a project runs
- Enquiry. The Client contacts Cloud Agency (form, email, Instagram) and describes their needs.
- Free demo. Cloud Agency prepares a non-binding, illustrative version of the website (the demo).
- Approval and materials. After approving the direction, the Client provides the materials (text, photos, logo, domain access) needed for the job.
- Production and revisions. Cloud Agency builds the website and makes the agreed revisions.
- Launch. The website is published on the Client’s domain.
§4. Free demo
- The demo is free and does not oblige the Client to conclude a contract.
- Until the full fee is paid, the economic copyright in the demo and the finished website remains with Cloud Agency. The Client may not use the demo on their own without concluding a contract and paying.
- Cloud Agency may show the demo and finished websites in its portfolio unless otherwise agreed.
§5. Fees and payment
- Prices of the basic packages: “One-page site” — from PLN 590, “Business website” — from PLN 1,490, “Website + care plan” — from PLN 1,490 one-off plus PLN 129 per month for care. Automation — from PLN 590. The exact amount, including for unusual scope, is quoted individually by Cloud Agency before work begins.
- Unless otherwise agreed, payment is made against a bill or invoice, by bank transfer, within 7 days of issue.
- For larger projects Cloud Agency may request a deposit in an amount agreed with the Client — only after the demo is approved, before full production begins.
- The monthly care fee is billed in advance for each following monthly period.
- The prices in these terms and on cloud-agency.org are final prices. Cloud Agency is VAT-exempt. Euro prices on the English version of the website are indicative; billing is in Polish złoty unless otherwise agreed.
§6. Copyright
- Upon payment of the full fee, Cloud Agency transfers to the Client the economic copyright in the individually created elements of the website (layout, graphics, text written by Cloud Agency) for the fields of use covering using the website on the internet, modifying and developing it.
- Third-party software elements (open-source libraries, fonts, stock photos) are covered by their authors’ licences; Cloud Agency ensures they are used in line with those licences for the Client’s commercial use.
- Until payment, the Client does not acquire rights to use the work.
§7. Domain and hosting
- The domain is registered in the Client’s name and is the Client’s property.
- After launch the Client receives full access to the website files. With the care plan, hosting may be provided by Cloud Agency — when cooperation ends, Cloud Agency hands the Client a copy of the website.
§8. Monthly care plan
- The “Website + care plan” package includes hosting, an SSL certificate, backups, uptime monitoring and small content changes within the scope agreed with the Client.
- The care agreement can be terminated with effect from the end of the current billing period. The website and domain remain with the Client.
§9. Liability
- Cloud Agency exercises due care but does not guarantee any particular search ranking or number of customer enquiries — these depend on factors beyond the Provider’s control.
- Cloud Agency is not liable for interruptions to the website caused by failures on the side of third-party providers (hosting, domain registrar, providers of services and automation tools).
- Cloud Agency’s liability for non-performance or improper performance of a contract is limited to the fee for the given order, to the extent permitted by law.
§10. Complaints
- Complaints should be sent to [email protected], describing the objections.
- Cloud Agency handles a complaint within 14 days of receiving it.
§11. Withdrawal from the contract (consumers and businesses with consumer rights)
- The services are aimed mainly at businesses in connection with their business activity. This section applies to a Client who is a consumer and to an individual concluding a contract directly related to their business activity where the contract shows that it is not of a professional nature for them (the “Privileged Client”).
- A Privileged Client may withdraw from a distance contract within 14 days without giving a reason. The period runs from the day the contract is concluded.
- To withdraw, it is enough to send a statement to [email protected] before the period expires. You may use the template below — this is not mandatory.
- If you withdraw, the contract is treated as not concluded. Cloud Agency refunds payments received within 14 days of receiving the statement.
- If a Privileged Client asked for the service to begin before the withdrawal period expired, on withdrawal they pay for what was performed up to the moment of withdrawal — in proportion to the work done.
- The right of withdrawal does not apply if Cloud Agency has fully performed the service with the Privileged Client’s express prior consent, having been told before the start that after full performance they lose the right of withdrawal.
Withdrawal form template
(complete and return only if you wish to withdraw from the contract)
To: Daniel Walusiak (Cloud Agency), email: [email protected] I/We hereby give notice that I/We withdraw from my/our contract for the provision of the following service: …………………………………… Date of the contract: …………………………………… Name of the Client: …………………………………… Address of the Client: …………………………………… Signature (only if this form is sent on paper): …………………………………… Date: ……………………………………
§12. Out-of-court dispute resolution
- A Client who is a consumer may use out-of-court ways of handling complaints and pursuing claims — including through a county (city) consumer ombudsman or a provincial Trade Inspection office. Information is available on the website of the Polish Office of Competition and Consumer Protection: uokik.gov.pl.
- Using out-of-court methods is voluntary and requires the consent of both parties.
§13. Final provisions
- Matters not regulated here are governed by Polish law, in particular the Civil Code, the Act on Providing Services by Electronic Means, the Consumer Rights Act and the Copyright and Related Rights Act.
- Cloud Agency may change these terms for important reasons; for orders already started, the terms in force on the day work began apply.
- The current version of the terms is available at cloud-agency.org/en/terms/.
